摘 要
企业的治理结构是企业竞争力最根本的要素之一，国有企业治理结构
历经了 20 年改革，取得了重大的进步，目前进入了深化改革的阶段。本
文具体从 6 个层面分析了上海汽车集团股份有限公司的治理结构。本文通
过对公司治理结构概念和发展历程的研究，以及目前国际上主流的公司治
理结构的研究，总结分析治理结构的 6 个层面。再通过和其他几个著名的
汽车企业的公司治理结构比较，对上海汽车集团股份有限公司治理结构的
优劣势进行了分析，并相应的提出了改善的建议。

ABSTRACT
The corporate governance structure is the most fundamental one of the factors
for the competitiveness of enterprises. Reform to the governance of state-own
enterprises has now entered a stage of deepening reform after 20 years reform
process. This paper completed the analysis of the governance structure of SAIC
from six levels. Through analysis about the concept of corporate governance and
it’s development process, we confirm the six analytical levels. Compare with
other Auto Companies, We conclude the strengths and weaknesses of the
governance structure of SAIC and the corresponding recommendations for
improvement.
