随着市场经济和律师行业的发展,律师事务所和律师的数量都在不断增 长,与此同时律师事务所的发展也面临着市场的严峻考验。合伙制企业形式 固有的弊端对律师事务所的发展产生阻碍,而采取公司化的管理模式已经成 为律师事务所管理者的共识。近年来,LX 律师事务所有了长足的发展,但 仍旧面临着诸多管理方面的问题,随着市场竞争的日益激烈,必须完善和解 决原有的管理模式中存在的不足和问题,探索和尝试新的管理模式。 本文对 LX 律师事务所的公司化管理进行研究,首先对事务所现状进行 分析,指出其管理中存在的问题,包括:治理结构不明确、管理者角色多元 化、律师缺乏团队意识、分配制度不合理、不注重人才培训等;第二,根据 LX 律师事务所自身的特点,分析了实行公司化管理的必要性,提出了 LX 律 师事务所公司化管理模式,即在充分借鉴现代公司制管理理论的基础上,对 律师事务所的治理结构采用公司化管理模式,在治理结构、部门设置、人力 资源管理、业务管理、客户关系管理等方面借鉴公司制企业的组织结构、管 理机制及分配机制等,从而在内部形成产权明晰、权责明确、管理科学的公 司化管理制度。从治理结构、部门设置、人力资源管理、业务管理、客户关 系管理等方面为 LX 律师事务所构建其公司化管理模式。最后,根据上述的 分析,提出实现 LX 律师事务所公司化管理的对策措施,即加强文化建设、 重视人才管理、完善团队建设、健全管理制度、加强品牌宣传等。 本文可以为 LX 律师事务所管理模式的改革和完善提供参考,一方面提 高律所现有的管理水平,使其管理模式更符合市场发展的要求。另一方面, 其他律师事务所在实施公司化管理的过程中可能会出现与 LX 律师事务所类 似的问题和困难,本文的研究结果为其提供了有益的参考和借鉴。 关键词:律师事务所;公司化管理;合伙制哈尔滨工业大学高级管理人员工商管理硕士学位论文 - II - Abstract With the development of market economy and lawyer industry, the number of law firms and lawyers is increasing. At the same time, the development of law firms is also facing a severe test of the market. The inherent drawbacks of partnership enterprises hinder the development of law firms, and it has become the consensus of law firms’ managers to adopt corporatization management mode. In recent years, LX Law Firm has made great progress, but it still faces many management problems. With the increasingly fierce market competition, it is necessary to improve and solve the shortcomings and problems existing in the original management mode, and to explore and try new management mode. This paper studies the corporatization management of LX law firm. Firstly, it analyzes the present situation of this law firm and points out problems in management, including unclear governance structure, diversified role of managers, lack of team consciousness among lawyers, unreasonable distribution system, little attention to training of talents and so on. Secondly, according to the characteristics of LX law firm, this paper analyzes the necessity of its corporatization management and proposes the corporatization management model for LX law firm, that is adopting corporatization management model to the the governance structure based on drawing lessons from the modern corporate management theory, and drawing lessons from the organizational structure, management mechanism and distribution mechanism , etc. of corporate enterprises in aspects of governance structure, department setup, human resources management, business management, customer relationship management, etc. in order to form the corporatization management system of clear property rights, clear powers and responsibilities and scientific management within the firm. From aspects of governance structure, department setup, human resource management, business management, customer relationship management and so on, it constructs the corporatization management model for LX law firm. Finally, according to the above analysis, it puts forward the countermeasures to realize the corporatization management of LX law firm, that is, to strengthen the cultural construction, attach importance to talent management, perfect the team building,哈尔滨工业大学高级管理人员工商管理硕士学位论文 - III - perfect the management system, and strengthen the brand propaganda, etc. This paper can provide reference for the reform and improvement of the management mode of LX Law Firm. On the one hand, it can improve the existing management level of LX Law Firm and make its management mode more in line with the requirements of market development. On the other hand, other law firms may have similar problems and difficulties with LX law firms in the process of implementing corporatization management. The results of this study provide useful reference for them.
