却存在操作层面的问题’如改制的模式、改制后企业的管理、如何建立学校与企业之间
的关系等,如何走好从改制这一步也十分重要。

本文通过分析我国高校校办企业管理现状,按照现代企业制度的思路指出校办企业
管理中存在的问题;通过各类校办企业模式的比较研究,提出必须通过体制改制建立学
校与企业之间的“防火墙”,使企业成为“自主经营、自负盈亏的独立法人企业”的改制
思路;运用现代企业制度理论对YZ大学校办企业改制过程中面临的优势、劣势、机遇、
困难进行系统分析,提出YZ大学校办企业改制的基本方案;以YZ大学为基础’结合新
形势下社会对高校产业发展的要求’归纳出高校校办企业改制的一般模式。同时,希望
本文的研究能够为正在进行的高校校办企业改制工作提供一点建设性意见。

Abstract
Wth the improvement of our national market economy and the need to
reform our educational system, those enterprises run by colleges and universities
are facing many problems though developing quickly, particularly in
restructuration and system innovation. Refinements are also needed in the ways
and principles of management.
In a macro point of view, the government has a clear outline over the reform
in those enterprises, but when it comes to detailed implementation, problems like
the modes of restructuring, the management after reform as well as how to relate
universities to enterprises do occur. It is also important that we know how to
move forward.
This essay aims to analyze Hie status quo of enterprises operated by
universities and point out the existing problems according to modern enterprise
system. By contrastive study of distinct business models in various types of
enterprises, the essay also states that in order to make them the autonomous,
independent self-financing corporate enterprises, a “firewaU” connecting schools
and enterprises must be established through the reform. With the application of
the theory, it offers an analysis about the advantages, disadvantages, opportunities
and threats that the enterprises of YZ University are going to have in their process
of reforming, thus improving its basic plan. Based on YZ University and
combined with the new social requirements towards university enterprises, this
essay generalizes the common university business model in Jiangsu Province.
Meanwhile, it hopes that this essay can provide some constructive suggestions
for the undergoing reform in university enterprises.
