摘要
国内市场的网络视听新媒体行业正加快产业升级,中央确立了文化领域改革
创新的重大任务目标,即鼓励传统媒体和新媒体在经营平台、内容渠道、经营理
念、管理方式等方面的深度融合,并建成几家具有较强传播影响力和公信力的新
媒体集团。研究国有文化传媒企业并购重组财务绩效对传统媒体和新媒体融合发
展具有重要的意义。本文采用案例分析法,基于哈佛分析框架对我国文化传媒行
业具有代表性的芒果超媒(原“快乐购”)并购重组案例财务绩效进行研究。
首先,采用文献研究法对相关文献进行梳理、归纳和总结,并界定哈佛分析
框架、并购重组的概念,介绍交易费用理论、协同效应理论、信号传递理论等本
文研究的相关理论。其次,对芒果超媒并购案例进行介绍,探究此次并购动因。
再次,基于哈佛分析框架从四个角度对芒果超媒并购进行财务绩效分析和评价,
指出其并购财务绩效的正向表现和存在的问题,并针对问题提出改进建议。最后
得出研究结论,并引申出行业启示,以供其他国有文化传媒企业借鉴参考。
本文通过研究湖南广播电视台旗下芒果超媒并购重组案例,最终得出了以下
结论:(1)芒果超媒并购重组活动是内外因素相互叠加而促成的。(2)芒果超
媒并购重组是企业一项重要的战略选择。(3)芒果超媒并购重组后其财务指标
得到了明显改善,公司的盈利能力、偿债能力和发展能力都有了显著提高。(4)
芒果超媒并购重组后的前景表现较好,短期内企业营业收入增长率、净利润增长
率快速提升,企业的市场份额不断扩张。(5)芒果超媒未来的发展能力具有不
确定性,面临较多潜在风险。总体来说,芒果超媒此次并购重组取得了很好的效
果。对于企业本身而言,改善了公司的财务绩效、提升了市场份额、增强了企业
的竞争力;对于文化传媒行业而言,芒果超媒的成功转型成为传统媒体与新媒体
融合的典型模式,为国有传媒企业进行媒体融合提供借鉴。

Abstract
The network audiovisual new media industry in the domestic market is
accelerating industrial upgrading, and the central government has established a major
task objective of reform and innovation in the cultural field, i.e., to encourage the
deep integration of traditional media and new media in terms of operating platforms,
content channels, business concepts, and management methods, and to build several
new media groups with strong communication influence and credibility. The study of
the financial performance of M&A and restructuring of state-owned cultural media
enterprises has important significance for the integrated development of traditional
media and new media.This paper adopts a case study approach, based on the Harvard
analysis framework, to study the financial performance of a representative case of
Mango Excellent Media(formerly "Happigo Home Shopping") in China's cultural
media industry.
Firstly, the literature research method is used to sort out, summarize and
conclude the relevant literature, and define the Harvard analytical framework, the
concept of M&A restructuring, and introduce the transaction cost theory, synergy
theory, signaling theory and other relevant theories studied in this paper. Secondly, we
introduce the case of Mango M&A and explore the motivation of this M&A. Thirdly,
the financial performance of Mango's M&A is analyzed and evaluated from four
perspectives based on the Harvard analysis framework, and the positive performance
and problems of its M&A financial performance are pointed out, and suggestions for
improvement are made. Finally, the study draws conclusions and draws industry
insights for other state-owned cultural media enterprises to learn from.
By studying the M&A and restructuring case of Mango, a subsidiary of Hunan
Radio and Television, the following conclusions are drawn: (1) The M&A and
restructuring activities of Mango were caused by the overlapping of internal and
external factors. (2) The M&A and restructuring of Mango is an important strategic
choice for the company.(3) Its financial indicators have been significantly improved
after the M&A and restructuring of Mango , and the company's profitability, solvency
