I 摘要 蚕业合作社组织管理是在社员(代表)大会、理事会、监事会、社员结构、产权 结构等组织结构设置基础上对合作社的运作进行决策管理和盈余分配的过程,是合作 社运营管理的系统框架。组织结构是否完整、机构设置是否合理、管理机制是否规范 且高效运作,是衡量合作社治理绩效的主要标准。蚕业合作社是南充市推动千亿丝纺 服装产业集群发展的重要经济主体,但当前组织结构不健全和管理机制不规范等突出 问题使得合作社组织管理效率低下,不利于南充市蚕业合作社的长期稳定发展。 基于合作经济理论、现代产权理论和委托代理理论,采用文献研究法、实地调查 法、案例研究法,在总结我国典型蚕业合作社组织管理经验和分析南充市蚕业合作社 发展现状、组织管理特征的基础上,分析南充市蚕业合作社组织管理的主要问题:在 组织结构方面,存在组织结构松散,社员(代表)大会、理事会、监事会外形化;产 权结构不合理,股权过于集中;社员异性质突出,整体素质偏低等问题。在管理机制 方面,存在利益分配不公平,重分配轻积累;决策机制不合理,核心成员把持决策权 等问题。 针对南充市蚕业合作社组织管理的问题,针对性的提出了优化建议。针对组织结 构的问题,提出优化治理结构、产权结构和社员结构的方案,对于社员(代表)大会、 理事会、监事会不仅要符合法律规定,还要结合合作社具体情况对职务职责、数量设 置、人员选择进行规范;在完善产权界定的基础上,鼓励发展股份制蚕业合作社;通 过减少成员异性质和提高社员素质来优化社员结构。针对管理机制的问题,提出完善 利益分配机制和决策机制的具体措施,通过创建科学公平透明的盈余分配体系,注重 公共积累来构建公开、公平、透明的盈余分配机制;通过优化决策方式和提高理事会 的决策能力来完善决策机制;此外,还可引入基于道德的非正式管理制度,提高社员 认同感和合作社凝聚力,为南充市蚕桑产业长期稳定发展助力。 关键词:蚕业合作社;组织管理;组织结构;管理机制;南充 Abstract II ResearchontheOptimizationofOrganizationandManagementof SericulturalCooperativesinNanchong Abstract:Organizationandmanagementofsericulturalcooperativeisaprocessof decision-makingmanagementandsurplusdistributiononthebasisoforganizational structuressuchasmember(representative)congress,council,boardofsupervisors, membershipstructureandpropertyrightstructure.Itisalsothesystemframeworkinwhich cooperativesoperate.Whethertheorganizationstructureiscomplete,theorganizationis reasonable,andthemanagementisstandardandefficientisthemainstandardtomeasurethe performanceofcooperativesgovernance.Sericulturecooperativesareanimportant economicsubjectinNanchongtopromotethedevelopmentofthesilktextileandclothing industryclusterof100billionyuan.However,theorganizationandmanagementofthe cooperativesisinefficiencywiththecurrentoutstandingproblemssuchasimperfect organizationstructureandnon-standardmanagementmechanism,whichisnotconduciveto thelongandstabledevelopmentofthesericulturecooperativesinNanchong. Theexperienceoforganizationandmanagementoftypicalsericulturecooperativesin China,thecurrentsituationofsericulturecooperativesinNanchong,thecharacteristicsof organizationandmanagementofsericulturecooperativesinNanchongweresummarized. Themainproblemsoftheorganizationandmanagementofsericulturecooperativein Nanchongwereanalyzed,whichisbasedonthecooperativeeconomytheory,modern propertyrightstheoryandprincipal-agenttheory,andusingliteratureresearch,fieldsurvey method,casestudy. Intermsoforganizationstructure,incompactorganizationstructure,formalized member(representative)congress,council,boardofsupervisors;Unreasonableproperty rightsstructureandexcessiveconcentrationofequity;seriouslydifferentnatureof membership,lowoverallqualityhadexposed.Intermsofthemanagementmechanism,the problemssuchasunfairdistributionofbenefits,putingmoreemphasisondistributionthan accumulation,unreasonabledecision-makingmechanism,andthedecision-makingrights wereholdbythecorememberhadexposed. Theoptimizationsuggestionswereputforwardinviewoftheorganizational managementofthesilkwormindustrycooperativesinNanchong,.Inviewoftheproblemsof organizationstructure,putforwardtheschemeofoptimizinggovernancestructure,property 西南科技大学硕士学位论文 III rightsstructureandmembershipstructure.Tobespecific,themember(representative) congress,council,boardofsupervisorsshouldaccordwithlegalregulation,andregularize thereresponsibility,membersquantity,personnelselectioncombiningwiththespecific situationofsericulturalcooperatives;Thejoint-stocksericulturecooperativesshouldbe encouragedonthebasisofimprovingthedefinitionofpropertyrights;Thememberstructure shouldbeoptimizedbyreducingmembershipdiversityandimprovingmembershipquality. Inviewoftheproblemsofmanagementmechanism,putforwardthespecificmeasures ofimprovingtheprofitdistributionmechanismanddecision-makingmechanism,Tobe specific,theopen,fairandtransparentearningsdistributionmechanismanddistribution mechanismshouldbecreated;Thedecision-makingmechanismshouldbeimprovedby optimizingthedecision-makingmethodsandimprovingthedecision-makingabilityofthe council;Inaddition,aninformalmanagementsystembasedonmoralitycanbeintroducedto enhancethesenseofmembershipandthecohesionofthecooperatives.Allthesemeasures cancontributetothelong-termstabledevelopmentofNanchongsericultureindustry.
