摘要
融资租赁已成为全球第二大的金融工具。同时融资租赁业也在我国迅猛发
展,在各类融资租赁业务形式中,以售后回租业务发展最为迅速。售后回租业
务相比较其他的融资租赁业务形式来说,具备一些明显的优势。例如,方式灵
活多变,融资期限长,放款速度快等。因此,企业选择售后回租业务模式进行
融资,是当前市场形势下解决企业融资困难的一种非常好的选择。S 公司是致
力于通过售后回租业务形式为客户提供一站式金融服务的融资租赁公司。但 S
公司在开展售后回租业务期间出现了承租人企业经营困难无法归还到期租金、
无法实际控制租赁物等严重的风险问题,部分业务出现延期或无法回收剩余租
金的情况,严重影响了公司的资产安全和未来的可持续发展,因此有必要对售
后回租业务的风险管理问题展开研究。
本文结合自身的工作经历,对 S 公司售后回租业务的风险管理工作进行分
析和总结,并提出一些建议。本文从以下四个部分进行展开。第一部分,介绍
售后回租业务以及风险管理的相关概念。第二部分,介绍 S 公司基本情况和售
后回租业务风险管理的现状。第三部分,采用租前、租中、租后的风险分析方
法对售后回租业务所产生的风险问题进行具体分析。最后,对 S 公司售后回租
业务发展进行思考,根据租前、租中、租后的风险问题提出了相应的解决措
施,例如细分市场准入规则、优化尽调和评审工作流程、增强租赁物管理能
力、建立风险预警机制等。
通过本文的研讨,探索售后回租业务的风险管理的具体应用,提出了促进
S 公司售后回租业务健康发展的对策和建议,积极探寻促进融资租赁行业健康
发展的道路。

Abstract
Abstract
The financial leasing business has now become the second largest financing tool
in the world. In my country, the financial leasing industry is also developing rapidly,
with the sale and leaseback business developing the fastest. Compared with other
forms of financial leasing business, the sale and leaseback business has some obvious
advantages. For example, the method is flexible and changeable, the financing period
is long, and the loan speed is fast. Therefore, it is a very good choice for enterprises to
choose the sales and leaseback business model for financing under the current market
situation. S Company is a financial leasing company dedicated to providing
customers with one-stop financial services through financial leasing business such as
sale and leaseback business. However, during the sale and leaseback business of S
Company, there were serious risk problems such as the lessee;s business difficulties,
the inability to return the due rent, and the inability to actually control the leased
property. Some businesses were delayed in recovery or unable to recover the
remaining rent, which seriously affected S Company. asset security and future
sustainable development.
Based on my work experience in S company, this paper analyzes and
summarizes the sale and leaseback business of S company, shows you the operation
process and risk control work method of the sale and leaseback business, and
analyzes and summarizes the performance of specific projects. Some suggestions on
risk management of sale and leaseback business are put forward. This article is
developed from the following four parts. The first part introduces the related concepts
of sale and leaseback business and risk management. The second part introduces the
basic situation of S company and the current situation of risk management of sale and
leaseback business. The third part, using the risk analysis methods of pre-lease risk
management, in-lease risk management and post-lease risk management, analyzes the
risks arising from the sale and leaseback business in detail. Finally, the paper
considers the development of S company;s sale and leaseback business, and puts

forward corresponding solutions according to the risk problems before, during and
after lease, such as market segmentation entry rules, optimization of due diligence
and review workflow, enhancement of leased property management capabilities,
establishment of risk early warning mechanisms, etc.
Through the research of this paper, the specific application of the sale and
leaseback risk management of the financial leasing business type is discussed, and the
countermeasures and suggestions to promote the healthy development of the S
company;s sale and leaseback business are put forward, and actively explore to
promote the healthy development of the financial leasing industry.
