本文为了研究现代企业治理结构，主要运用了文献研究的方法和对比分析
的方法，首先对现有的公司治理结构理论进行了梳理和总结，了解了公司治理
结构的基本内涵、功能以及理论基础；然后对现代企业治理结构的研究历程进
行了阐述，对现代企业在各个时期治理结构进行分析；然后对国外企业治理结
构的现状进行了研究，最后以武汉新世界制冷工业有限公司为例对我国国有企
业治理结构存在的问题以及改进与完善提出策略建议。

The first historical task of the beginning of Socialism is the concentrations on
the productivity. To establish the Socialism economy system is the conclusion of our
successful economy revolution and our trend. It is necessary and the requirement for
the marketing economy to establish a modern stockholding system and a reasonable
economy structure. The appearance of the modern enterprise governance structure is
related to the separation of the power of stockholding and stock controlling. The truth
and experiences from all of the countries show that the enterprise governance
structure has taken an important place in the whole development. Only if the
governance structure to be established well, an enterprise could be better involved
and taken its own place in the fierce competition system. Now, accompany with the
deep-going of enterprise situation, how to build up a reasonable and effective
governance structure has become a core of our county-owned enterprises.
This article is a research of modern enterprise governance structure, which
mainly uses the method of studying references and comparison analysis. Firstly, it
collates and concludes the theory of the existed modern governance structure, which
to understand the basic content, function and theory base of the enterprise governance
structure; then, it explains the research procedures of the structure, which takes
Wuhan New World Refrigeration Company, Ltd as an example, to analyze the
structures in different times; thirdly, the are some researches about the situations of
the enterprise governance structures in other countries; and finally, it points out the
strategies of the structure’s improvement and accomplishment.
