Conforming to the principle of equality and mutual benefit and principle of achieving agreement through consultation, determined through full consultation between the two parties, the Buyer and the Seller on the sale of the year 2011 copper cathodes signed the annual contract for the sale.

3、买方自行报关并报检承担所有报关费用以及出仓费用。

Self-declaration and self-inspection by Buyer own, and all of customs charges and out-warehouse fees in Buyer’s side.
货品验收和计量质量异议：
Products inspection and disputes of measurement and quality
交货当时验收数量；并按买卖双方约定之验收方式验收质量。货交十日内
买方未就货物向卖方提出异议，视为接受。

Spot delivery with quantity confirmation and quality acceptance according to the method which has been agreed by Seller and Buyer. No disputes be filed to Seller from Buyer within 10 days after delivery shall be deemed products accepted.
在质量验收中如发生纠纷，由国家有色金属质量监督检验中心鉴定，该鉴定对
买卖双方都具有约束力，质量如不符合合同约定，鉴定费用由卖方承担，反之则由买方支付。

Disputes arising in quality acceptance shall be identified by National Quality Supervision and Inspection Center for Non-ferrous Metals, and the result of identification binds upon both Seller and Buyer. If the quality is not in conformity with the contract, appraisal cost pays by Seller, and vice versa by Buyer.
3．买方在收货验收中，如发现货物数量、型号、规格不符合本合同或本合同项下订单之约定，应向卖方提出异议并妥善封存货物，由卖方在七天内处理；如买方收货后七日内未对货物数量、型号、规格提出异议，则视为货物符合本合同或本合同项下订单之约定。

If product quantity, model and specifications are not in conformity with the contract or the agreement of orders from this contract during product acceptance, Buyer should file disputes to Seller and archive the goods properly, and Seller shall do disposal within 7 days. If Buyer does not file any disputes about quantity, model and specifications within 7 days after goods receipt shall be deemed the product in conformity with the contract or the agreement of orders from this contract.
货品价格：货品月度结算价格（美元/吨）=阴极铜基价+溢价升水
