摘要
近年来,随着大众传媒的发展,社会和公众越来越关注企业的社会责任行
为。越来越多的上市企业对其社会责任信息主动披露,但主动进行披露的公司
数量增长并不意味着其披露质量的提升。现阶段来讲我国大多数企业的社会责
任信息披露质量仍然较差,整体来看,我国的企业社会责任信息披露仍处于起
步阶段。因此,对企业社会责任信息披露的影响因素的研究十分具有必要性,
但国内对于企业社会责任信息披露影响因素的研究较少,同时鲜有文献研究董
事会资本与企业社会责任信息披露质量之间的关系。
本文以2014-2019 年中国 A 股上市制造业企业为研究样本,通过理论分析
和实证分析研究董事会资本与企业社会责任信息披露之间的关系。本文将董事
会资本看作是董事会人力资本和董事会社会资本的总和,并将董事会人力资本
划分为四个维度;将董事会社会资本划分为两个维度。分别研究六个维度对企
业社会责任信息披露的影响。并在此基础上引入CEO 权力,探究其在董事会资
本与企业社会责任信息披露之间的作用,丰富企业社会责任信息披露影响因素
的研究,并回应关于董事会与 CEO 关系的研究。
本文的结果显示董事会人力资本的四个维度:教育背景、职能背景、专业
技能和海外背景,以及董事会社会资本的商业联系均会对企业社会责任信息披
露产生正向影响;而董事会社会资本中的政治关联维度则会对企业社会责任信
息披露产生消极影响;CEO 权力会正向调节教育背景、职能背景和商业联系对
企业社会责任信息披露的积极影响。
本文将董事会资本引入企业社会责任信息披露影响因素的研究,为以后研
究提供新的思路。同时为企业董事会成员配置,董事会与 CEO 关系的调整提供
良好的借鉴,也为政府对政绩的考核以及对待企业社会责任行为提供了一些可
行的思路。

Abstract
In recent years, with the development of mass media, the society and the public
pay more and more attention to corporate social responsibility behavior. More and more
listed companies take the initiative to disclose their social responsibility information,
but the increase in the number of companies taking the initiative to disclose does not
mean the improvement of the quality of disclosure. At this stage, the quality of social
responsibility information disclosure of most enterprises in China is still poor. Overall,
China;s corporate social responsibility information disclosure is still in its infancy.
Therefore, it is necessary to study the influencing factors of corporate social
responsibility information disclosure. However, there are few researches on the
influencing factors of corporate social responsibility information disclosure in China,
and few literatures study the relationship between board capital and the quality of
corporate social responsibility information disclosure.
This paper uses Chinese A-share listed manufacturing firms in 2014-2019 as a
research sample to study the relationship between board capital and corporate social
responsibility information disclosure through theoretical analysis and empirical
analysis. This paper views board capital as the sum of board human capital and board
social capital, and divides board human capital into four dimensions; Divide board
social capital into two dimensions. The effects of the six dimensions on CSR disclosure
are examined separately. And introduce CEO power based on this, explore its role
between the capital of the board and CSR disclosure, enrich the research on Influencing
Factors of CSR disclosure, and respond to the research on the relationship between the
board and CEO.
The results of this paper show that the four dimensions of human capital of the
board of directors: educational background, functional background, professional skills
and overseas background, as well as the business connection of social capital of the
board of directors will have a positive impact on corporate social responsibility
information disclosure; The dimension of political connection in the social capital of
the board of directors will have a negative impact on corporate social responsibility
information disclosure; CEO power will positively regulate the positive impact of
educational background, functional background and business connection on corporate
social responsibility information disclosure.
This paper introduces the board capital into the research on the influencing factors

of corporate social responsibility information disclosure, so as to provide new ideas for
future research. At the same time, it provides a good reference for the allocation of
members of the board of directors and the adjustment of the relationship between the
board of directors and CEO, and also provides some feasible ideas for the government;s
assessment of political performance and the treatment of corporate social responsibility
behavior.
