摘要
中国共产党中央委员会第十九次全国代表大会对全面深入加强依法治国的重要实
践，作出了一系列重要的工作部署。全面深化依法治国提出的重大新发展理念、新执政
思想、新战略目标为企业在法律轨道上合法依规治理指明了道路和方向，科学有效的企
业法务管理模式和较高的法务管理水平能够帮助企业顺利实现法治企业的建设。面对当
前严峻而复杂的全球经济环境，企业法务如何优化管理模式以适应企业的快速发展需
要，成为了企业改革发展的重大课题，也成为了企业改革发展迫切需要解决的问题。
论文以笔者所供职的 A 集团公司为研究对象，在国内外研究现状的基础上，以法
务的日常管理职责为切入点，采用文献研究法、实践调查法和个案研究法，就A 集团
公司在集团化管控模式下总法律顾问制度的实施现状，通过调研和访谈交流的形式，梳
理分析当前法务管理存在的主要问题，通过对这些问题进行成因分析，针对梳理出的原
因分析，结合 A 集团公司的实际情况，提出具备可操作性的法务管理的优化措施。最
后，从组织管理制度保障、组织领导机构保障、费用投入保障和人才储备保障四个方面，
细致阐述法务管理的优化得以落地实施所需要的各项保障措施。
当前，国内外对法务管理优化、总法律顾问制度、集团化管控模式等均有较丰富的
研究，尤其是对法务管理职责定位，总法律顾问制度的实施及困境以及集团化管控优劣
势分析等均有较深入的研究，提供了丰富的可以参考的文献素材。但将总法律顾问制度、
集团化管控模式、法务管理优化这三者结合起来一起研究，国内外文献资料还比较少见。
但是，相对西方国家来说，我国企业法务管理的专业研究仍然起步时间较晚，对总法律
顾问制度的研究大多集中在国有企业这一特定经济组织形态，从立法层面到各地结合实
际制定的具体实施方法，再到企业内部总法律顾问制度的实施落地，研究类型和素材相
对单一和有限。
论文在以上国内外对企业法务管理体系建设、法务风险管理、法治国企建设等理论
研究的基础上，就 A 集团公司在总法律顾问制度下法务管理工作的优化进行分析研究，
尤其是在现行总法律顾问制度下，如何培养高素质专业法务人员，如何构建法律风险防
控长效机制，如何在企业实现公司法人治理机制的有效融合等问题进行分析，对大型集
团化公司这一特有组织形式的企业的法务管理工作优化，提出具体参考措施。另外，论
文将国内企业总法律顾问制度的研究范围从国有企业扩展至一般企业，同时将研究对象
限定在集团化管控模式下，使论文研究成果能够适用于集团化管控模式下企业的总法律
顾问制度的一般实践，为同类型企业集团的总法律顾问制度的建设和优化提供具体可操
作性的参考。

IAbstract
Abstract
The 19th National Congress of the Central Committee of the Communist Party of China
made a range of important deployment for the full implementation of the important practice
of enhancing the democratic governance of the country according to the law, and
comprehensively deepened the major new development concepts, new governance ideas, and
new strategies proposed by the rule of law country. It points out the way and direction for
enterprises to govern according to regulations on the legal track. Scientific and effective legal
management mode and high legal management level can help enterprises successfully realize
the construction of legal enterprises. Facing the increasingly severe and complex economic
development environment, how to suit the legal management of state-owned enterprises to
the demands of the rapid growth of enterprises have become an burning issue to be solved for
the reform and the development, innovation and development of enterprises.
This thesis takes the A group company where the author works as the research object, on
the basis of the current research situation at home and abroad, with the daily management
responsibilities of the legal affairs as the starting point, using the literature research method,
the practice investigation method and the case study method. The status quo of the
implementation of the general counsel system under the group management and control
model, through the form of research and interviews, to sort out and analyze the main
problems existing in the current legal affairs management, and analyze the causes of these
problems. According to the actual situation, the optimization measures of legal management
with operability are proposed. Finally, from the four aspects of organizational management
system guarantee, organizational leadership guarantee, cost investment guarantee and talent
reserve guarantee, the thesis elaborates in detail the various guarantee measures required for
the optimization of legal management to be implemented.
At present, there are abundant researches on the optimization of legal management, the
general counsel system and the group control mode at home and abroad, especially on the
positioning of legal management responsibilities, the implementation and predicament of the
general counsel system, and the analysis of the advantages and disadvantages of group
control, etc., which provide abundant literature materials for reference. However, combining
the general counsel system, collectivized control mode and legal management optimization to
study together, the domestic and foreign literature is still relatively rare. However, compared
with western countries, the professional research on enterprise legal management consulting
in China still started late, and the research on general counsel system mostly focused on the

specific economic organization form of state-owned enterprises. The research on general
counsel system, from the legislative level to the specific implementation methods formulated
by various places in combination with the actual situation to the implementation of internal
general counsel system in enterprises, was relatively single and limited in research types and
materials.
On the basis of the above domestic and foreign theoretical studies on the construction of
enterprise legal management system, legal risk management and the construction of
state-owned enterprises ruled by law, this thesis analyzes and studies the optimization of legal
management of A Group Company under the general counsel system, especially how to train
high-quality professional legal personnel, how to build a long-term legal risk prevention and
control mechanism, how to effectively integrate the corporate governance mechanism in
enterprises, etc., and puts forward specific reference measures for the optimization of legal
management of large group companies, a unique organizational form of enterprises. In
addition, the thesis expands the research scope of general counsel system of domestic
enterprises from state-owned enterprises to general enterprises, and at the same time limits
the research object to the group control mode, so that the research results of the thesis can be
applied to the general practice of general counsel system of enterprises under the group
control mode, and provide specific operational reference for the construction and
optimization of general counsel system of the same type enterprise groups.
