:近些年来,随着我国经济的持续发展,企业的规模持续扩张, 越来越多的企业从单独的经营模式转变为集团形式的经营模式。以这 种集团形式为主要经营模式的企业越来越多,他们将人才、资金和技 术装备、生产能力等汇集在一起,通过规模优势、资源优势,提升自 身竞争力。企业集团的相继拓展,使大量的资金汇集到一处,逐步形 成了企业内部的资金市场。这种资金集中管理的模式虽然优势明显, 但长此以往,也会出现一些问题,需要加以关注。 盛融集团公司是国内著名大型百货零售企业,是一家多元化实业 发展与投资集团,拥有多家境内外上市公司和100多家控股、参股公 司,已成为中国最具实力的民营企业之一。本研究以盛融集团公司为 案例进行研究,采用文献研究法、案例分析法和访谈研究法进行研究。 研究的基础理论包括:委托代理理论、集权分权理论、信息不对称理 论等和资本成长理论。先从账户管理、资金预算管理、筹资管理、资 金统筹管理和制度建设等方面介绍盛融集团公司资金集中管理的具 体情况,论述其资金集中管理取得的成效。通过现状的介绍,发现盛 融集团公司资金预算集中管理存在一些问题,并进一步对问题进行分 析、探究导致问题的深层次原因。最后,从思想认知、预算编制和执 行、融资渠道、组织架构等方面提出加强盛融集团公司资金集中管理 的对策,希望其对进一步改进盛融集团公司资金集中管理水平、提升 其资金管理绩效有所裨益。 II 关键词:集团公司;资金集中管理;资金池模式;改进对策 III RESEARCHONTHECENTRALIZEDMANAGEMENT COUNTERMEASURESOFSGROUPCOMPANIES JiangLinjie(MBA) DirectedbyGuoHu Abstract:Inrecentyears,withthecontinuousdevelopmentofChina's economy,thescaleofenterpriseshascontinuedtoexpand,andmoreand moreenterpriseshavechangedfromasinglebusinessmodeltoa group-basedbusinessmodel.Therearemoreandmoreenterpriseswith thisgroupasthemainbusinessmodel.Theybringtogethertalents, capital,technicalequipmentandproductioncapacitytoenhancetheir competitivenessthroughscaleadvantagesandresourceadvantages.The successiveexpansionofenterprisegroupshasbroughtalargeamountof fundsintooneplaceandgraduallyformedacapitalmarketwithinthe enterprise.Althoughthiskindofcentralizedmanagementmodelhas obviousadvantages,inthelongrun,therewillbesomeproblemsthat needtobepaidattentionto. ShengrongGroupCo.,Ltd.isafamouslarge-scaledepartmentstore retailenterpriseinChina.Itisadiversifiedindustrialdevelopmentand investmentgroup,withanumberoflistedcompaniesathomeandabroad andmorethan100holdingandshareholdingcompanies.Ithasbecome oneofthemostpowerfulprivateenterprisesinChina.Thisstudyused ShengRongGroupasacasestudy,usingliteratureresearch,caseanalysis IV andinterviewresearch.Thebasictheoriesofresearchinclude: principal-agenttheory,centralizedpowerseparationtheory,information asymmetrytheoryandcapitalgrowththeory.Firstly,itintroducesthe specificsituationofcentralizedmanagementofShengRongGroup's fundsfromtheaspectsofaccountmanagement,capitalbudget management,fundraisingmanagement,fundmanagementandsystem construction,anddiscussestheeffectivenessofitscentralizedfund management.Throughtheintroductionofthestatusquo,itisfoundthat therearesomeproblemsinthecentralizedmanagementofthefund budgetofShengRongGroup,andfurtheranalyzetheproblemsand explorethedeep-seatedcausesoftheproblems.Finally,fromtheaspects ofideologicalcognition,budgetpreparationandexecution,financing channelsandorganizationalstructure,thecountermeasuresfor strengtheningthecentralizedmanagementofShengRongGroup'sfunds areproposed.Itishopedthatitwillfurtherimprovethecentralized managementlevelofShengRongGroup'sfundsandimproveitsfund managementperformance.Itisbeneficial.
