论文主要利用案例分析、资料分析的方法论来展开通过对个案的研究，通过推理
演绎将个案扩展到一个较为广泛的中小型科技企业的实施方案设计，最终勾画出中小
型科技企业挂牌新三板市场的一种途径及解决方案，为更多企业登录新三板提供一个
案例分析研究

首先对我国资本市场的发展沿革进行回顾，在深入分析“新三板”市场特点、发
展方向和政策法规要求的基础上，围绕 YCHB 公司“新三板”市场挂牌的个案研究，
深入分析企业挂牌“新三板”过程中所存在的问题，从对 YCHB 公司个案的上市可
行性研究入手，分析中小型科技企业普遍存在的问题，以及上市的时机和需求。针对
YCHB 公司行业背景、企业内部管理等情况，参照上市尽责调查指引的规范要求，通
过分析诊断，对 YCHB 公司从股份制改造、财务规范性、法人治理结构、公司出资
以及独立性问题进行深入分析，结合企业实际情况以及上市指引的要求提出针对性的
解决方案，通过对实际控制人的确定和对赌协议的清理来确定企业股权的稳定性，通
过对收入、税务等一般性中小企业财务容易出现瑕疵的地方进行分析，特别是对中小
型科技企业来说，最为重要的研发投入的确认对财务进行整体规范；对公司架构进行
调整以适应企业上市的需要；通过对无形资产的程序性和实质性瑕疵的辨别和分析，
对出资控股和收购等相关事宜对上市公司整体独立性影响的分析判断等问题的解决
最终汇总形成 YCHB“新三板”公司挂牌上市实施方案

With the new three board’s national expansion, China&39;s OTC market into the rapid
development of the channel. The new three boards gradually become a large number of
small and medium-sized enterprises to log the capital market below a sufficient platform.
New three board listed companies are more and more because it is easier to enter. This is
good news for small and medium-sized enterprises, especially small and medium-sized
technology enterprises, who have long been in financing state. Through the analysis of
policy analysis, this paper explores the practical problems in solving the difficult problems
of financing small and medium-sized enterprises.
This paper explores the solution to the financing difficulties of small and
medium-sized enterprises by using the off-market market through the case analysis of
