伴随我国市场经济改革的不断深化,经济结构的不断调整,企业之间的资

产重组越发频繁,重组的规模日益扩大,涉及到的行业也越发广泛,资产重组

依靠产权的转移,不但促进了现有资源的合理配置,而且极大的推动了现有资

源向优势产业部门的转移,为我国经济持久快速的发展提供了动力。

本文以草原兴发资产重组案例为研究对象,应用系统分析法、文献归纳和

规范分析法,对政府在草原兴发资产重组过程中参与的主要工作和所起作用进

行了深入的分析,总结了政府参与企业资产重组的有利方面包括:制止了企业

内部的混乱、有利于企业资产、债务、债权、人员情况的清查,能够顺利的开

展对企业摸底工作、维护了投资者的利益、增强重组方的企业实力等。

通过对草原兴发资产重组案例和前人研宄的归纳,总结出了政府在资产重

组过程中存在的诸多积极作用:充分发挥了政府在重组过程中的协调作用,帮

助企业摆脱经营困境,在政府的作用下重组增加了投资机会,提高了投资者的

收益,帮助企业实现了资源的有效利用,但同时,也发掘出我国政府在资产重

方面存在的不足:与资产重组有关的政策措施尚不健全;政府缺乏对资产重组

的外部监管,在以上研宄的基础上,总结了政府参与企业资产重组的意义包括:

充分发挥政府在经济发展中的领导作用、政府要加强对资产重组活动的监管、

完善相关配套政策,保证资产重组的顺利进行。希望通过本文的研宄,能够发

掘政府在企业资产重组过程中起到的积极作用,为后续企业资产重组的进行提

供可供借鉴的宝贵例子。

Abstract

With the rapid development of China's economy, the deepening of the market

economy,asset restructuring activities between enterprises have become increasingly

frequent, increasing the size of the reorganization, the industry is also increasingly

involved in a wide range of asset restructuring rely on transfer of property rights,not

only to promote the existing rational allocation of resources, but also greatly changed

the industrial structure, laid the foundation for long-term healthy development of the

economy.

In this paper,Prairie Xingfa asset restructuring cases for the study, Applied

Systems Analysis, literature induction and specification analysis,the main work of

the government in Prairie Xingfa assets involved in the reorganization process and

the role of in-depth analysis, summmzed the benefits of government involvement in

the practice of corporate reorganization of assets as follows: to stop the internal

chaos,is conducive to the assets, liabilities,claims, inventory personnel situation of

the enterprise, the enterprise can successfully carry out diagnostic work and

safeguard the interests of investors, enhancing restructuring Fang enterprise strength

and so on.

Through the Prairie Xingfa asset restructuring cases and previous research

summarized, summed up many positive role of government in the process of

restructuring of assets exist: full play the coordinating role of the government in the

process of restructuring, to help companies get through the difficulty,in the

government under the reorganization to increase the role of investment opportunities,

improve investor returns, the effective functioning of the government to help

companies achieve the maximum efficiency; also found and summarizes the

government to participate in the process of restructuring of corporate assets problems:

lack of government asset restructuring external supervision, asset restructuring

process related government policies are not perfect. On the basis of the above
