——以 T 公司为例

摘 要
T 公司作为一家新成立的专业从事钢丝绳探伤设备研发与制造的高新技术民
营企业,本处于高速发展时期,但随着员工数量的增加,公司效益增加,公司规
模不断扩大,使公司企业治理机制、利益分配上的一系列矛盾和问题逐步显现,
最终导致公司矛盾重重,进而解体。

本文以 T 公司为研究平台,认真搜集和整理了该企业相关的资料,通过与
企业中部分管理者、员工沟通,对该企业组织基本情况、股权机构、企业治理机
制、资金及利益分配进行了描述,展现了现有的企业实际情况。通过科学的方法
对 T 公司进行分析,总结出该企业存在的矛盾和问题。

针对 T 公司组织结构及管理中存在的问题,以先进的管理学理论为指导,
运用契约理论、产权理论以及公司治理概念,借鉴国内家族企业成功的经验,并
在充分考虑可行性的前提下,提出了相应的应对方案。

本文通过以上步骤,最终形成家族企业相关公司治理、组织结构优化的探索
方案,以期为其他企业今后的发展奠定一个良好的企业组织结构体系。

ABSTRACT
Company T As a newly established company,its business included producing wire
rope testing equipment and manufacture of high-tech private enterprises. In the high-
speed development period , because of the company benefits increases, companies
have been expanding, but with the increase in the number of employees ,corporate
governance mechanism, distribution of benefits gradually emerged a series of
contradictions and problems, and ultimately led to the company contradictory, then it
has been disintegrated.
In this paper, I set company T as the research platform , carefully collecting and
collating relevant information of the enterprise ,and make communication with part of
corporate managers and staffs, get the basic situation of the organization, equity firms,
corporate governance, funding and distribution of benefits ,to express the existing
actual situation of enterprises. Through the scientific method to analyze company T , I
hope to sum up the corporate existence of contradictions and problems.
For company T's organizational structure and management problems , with advanced
management theory as a guide, the use of contract theory , the concept of property
rights theory and corporate governance , drawing on the successful experience of
domestic family business , and in full consideration of the feasibility of the premise, i
proposed to make the corresponding response options.
In this paper, the above steps , eventually making the family business related to
corporate governance, organizational structure optimization of exploration programs
and make a good corporate organizational structure system for the future development
of other companies .
