I 摘要 工程项目实施过程中,双方难以避免会产生各种争议纠纷,常见的有工程质量争议、 工程是否逾期、工程款支付条件是否成就等。而在这各种类型的纠纷中,根据中国建筑 协会的统计合同价款方面的纠纷最多,包括工程款的支付条件、质量保证金的返还、违 约金的数额等。其次合同价款对项目的影响程度较大,可能导致一系列其他的纠纷,同 时其解决方式有限,合同双方往往不得不采用诉讼这种成本较大的方式解决。而从文献 上来看,鲜少见到有专门针对价款纠纷的研究,一般是将价款纠纷与其他类型纠纷并列 为工程纠纷进行研究,忽略了合同价款纠纷的重要地位。因此,选用科学的理论和方法 对合同价款纠纷产生的原因进行深层次研究,进而提出采取有效的措施进行预防对解决 现在工程行业纠纷多、处理难问题,提高合同履行效率是有意义的。 本文首先对合同价款纠纷进行理论分析,以不完全合同理论和合同状态理论为基础, 探究价款纠纷产生的原理,认为不定的干扰因素变量是合同价款纠纷发生的潜在原因。 其次通过对案例和文献的研究,明确对合同价款纠纷产生影响的 40 个因素。然后根据 合同状态的构成要素对这些因素进行划分,并以此为基础形成合同价款纠纷影响因素指 标体系。然后使用结构方程模型分析法,对影响因素指标进行验证,认为合同因素、工 程项目因素、环境因素对价款纠纷有直接影响,影响程度逐渐递减。合同主体因素通过 作用于其他三种因素间接对纠纷产生影响。因此,对于有直接影响的三类因素,可被观 测,也易于被第三方证实,对其防范应尽量弥补合同的不完全性以及完善第三方处理机 制。对于合同主体因素,其作用形式无法被直接观测,对于此类因素的防范,应当分类 具体处理。在此基础上,本文提出从“提升合同管理水平”、“完善 DAAB 第三方机制”、 “防范机会主义”、“加强企业能力建设”这四个方面对价款纠纷进行预防。 关键词:合同价款纠纷;结构方程模型;预防措施;DAAB 模式。Abstract II Abstract During the implementation of an engineering project, it is difficult for both parties to avoid various disputes and disputes. Common ones include engineering quality disputes, whether the project is overdue, and whether the payment terms of the project are successful. Among the various types of disputes, according to the statistics of the China Construction Association, disputes regarding the contract price are the most, including the payment terms for the project payment, the return of the quality guarantee, and the amount of the penalty. Secondly, the contract price has a greater impact on the project, which may lead to a series of other disputes. Atthesametime,itsresolutionis limited.Bothpartiestothecontractoftenhavetouselitigation, which is a more costly method. From the literature point of view, there are few studies that specifically address price disputes. Generally, price disputes and other types of disputes are listed as engineering disputes, and the important position of contract price disputes is ignored. Therefore, it is meaningful to choose scientific theories and methods to conduct in-depth research on the causes of contract price disputes, and then propose to take effective measures to prevent them from resolving the problems of many disputes in the engineering industry that are difficult to deal with and improve contract performance efficiency. This article firstly conducts a theoretical analysis of contract price disputes, based on incomplete contract theory and contract status theory, explores the principles of price disputes, and considers that the variable interference factors are the potential causes of contract price disputes. Secondly, through the study of cases and literature, the 40 factors that have an impact on the contract price dispute are clarified. Then divide these factors according to the constituent elements of the contract status, and form an index system of influencing factors of contract price disputes on this basis. Then use the structural equation model analysis method to verify the index of the influencing factors, and believe that the contract factors, project factors, and environmental factors have a direct impact on the price dispute, and the degree of influence gradually decreases. The main factor of the contract indirectly affects the dispute by acting on the other three factors. Therefore, the three types of factors that have a direct impact can be observed and easily verified by third parties, and their prevention should make up for the incompleteness ofthecontract andimprovethethird-partyprocessingmechanism.Forthemain body of the contract, the form of its action cannot be directly observed, and the prevention of such factors should be classified and dealt with specifically. On this basis, this article proposes to prevent price disputes from four aspects: "improving the level of contract management", "improving the DAAB third-party mechanism", "preventing opportunism", and "strengthening enterprise capacity building".
