摘 要
深化国有企业改革,既是经济体制改革的中心环节,也是完善社会主
义市场经济体制的重点和难点。近几年来,特别是党的十六大以来,烟台
市以产权改革为核心,以建立现代企业制度为目标,扎扎实实推进市属企
业改革工作,取得了良好成效,企业经营机制进一步转换,竞争实力和经
济效益明显提高。但是,随着改革改制的不断深入,一些深层次问题和矛
盾也集中暴露出来,特别是一些关系职工切身利益和企业发展的政策性问
题,如果不及时加以研究解决,已经或将会严重影响企业发展和社会稳定
工作,同时,还将阻碍企业改革工作的深化。笔者拟结合工作实际,分析
研究烟台市市属企业改革中存在的各种问题,有针对性地提出解决对策和
建议。

本文主要创新点:一是基于烟台市市属企业改革实际情况,提出利用
改制企业风险基金,妥善解决改制企业职工身份转换的改革思路;二是为
切实保护改制企业职工利益,提出建立股东责任追究机制;三是提出推进
股权多元化,从根本上促进改制企业转换机制。

Summary
Deepening the reformation of the state-owned enterprises is the central link
of the economic system reformation as well as the emphasis and difficult point
of perfecting socialist market economic system. In recent years, especially since
the 16th national congress of CPC, Yantai City, taking the property ownership
reformation as the core, the establishment of modern enterprise system as the
aim, has carried forward the municipal state-owned reformation in a
down-to-earth manner, and obtained good effectiveness, such as the further
change of the enterprise management mechanism, the obvious enhancement of
competitive strength and economic benefit. But along with the continuous
deepening of the reformation and ownership change, some deep layer problems
and contradiction appear collectively, especially some policy problems relative
to the behalf of staff and workers and the development of the enterprises. If the
problems are not to be solved timely, they have already influenced and will
seriously impair the development of the enterprises and stability of the society,
meanwhile the deepening of the enterprise reformation. The writer will,
integrating with work actuality, analyses and research the various problems in
the reformation of Yantai municipal enterprises, and expound solutions and
suggestions about them.
The main innovative points of this article: I. On the basis of the actuality of
Yantai municipal enterprise reformation, expounding the reforming thought of
utilizing the risk fund of the reformed enterprises to properly solve the status
change of the staff and workers in the reformed enterprises. II. In order to
actually protect the behalf of the staff and workers in the reformed enterprises,
putting forward establishing investigation mechanism towards shareholders’
responsibility. III. Advancing pushing on stock rights to be diverse to promote
the reformed enterprises to basically change mechanism .
